
With over 15 years' experience, Jill is a Senior Member of Irwin, White & Jennings practicing corporate/commercial and securities law.As a member of the IWJ team, Jill focuses on delivering practical business law solutions for clients. Jill has significant experience assisting clients in all aspects of their business including debt and equity financings, mergers and acquisitions, asset and share purchase and sale transactions, corporate governance and regulatory compliance. Jill regularly negotiates and drafts documentation for diverse corporate transactions and financings on behalf of clients ranging from owner-managed to reporting issuers. In addition to providing on-going corporate and commercial advice regarding operational issues, Jill also advises investment funds on continuous offering and disclosure matters. As well, Jill has extensive involvement working with private sector and government stakeholders to facilitate the execution of specific public policy objectives and has advised numerous clients operating under specialized statutes on the everyday application and interpretation of such statutes. Jill obtained her law degree from the University of British Columbia (LL.B – 1996) and is admitted to the Bars of British Columbia (1997) and Ontario (2004). Jill joined IWJ in 2000 as an associate and became a member in 2003 and a Senior Member in 2006. Jill articled at a large national firm in 1996 and was an associate there from 1997 to 2000. Jill obtained a bachelor of commerce, with honours, from the University of British Columbia (B.Comm – 1993). Jill has been Co-Head of Registration and Donations on the Organizing Committee for Childrun (BC Childrens' Hospital Foundation) since 2004.
Dayna practises law primarily in the areas of securities and corporate finance, with a focus on institutional venture capital, lending, private equity and mergers and acquisitions. She works with a range of clients, including corporate clients and many of Western Canada’s largest institutional venture capital companies. Dayna has worked in this area for over 15 years and has extensive experience drafting, negotiating and settling documents for institutional venture capital debt and equity financings and advising corporate clients on corporate, securities and financing issues as well as M&A transactions. Dayna’s experience also includes acting for national and large US based funds on several Canada/US cross boarder financings, including exchangeable share structures.While her more recent focus has been on the above, earlier in her legal career Dayna advised brokerage corporate finance staff in both private and public financings and on securities regulatory issues and securities law aspects of structuring corporate finance transactions. She also was involved in completing extensive due diligence investigations of both public and private issuers, and evaluating results of such due diligence investigations.Dayna also presents at and has co-chaired seminars for CLE (Continuing Legal Education) on the topics of shareholders’ agreements as well as elements of private corporate finance. She is a board member and treasurer of the Kiwanis Club (Vancouver) and is a veteran member of the organizing committee for Childrun, a successful fun run which raises funds for the oncology department of B.C. Tamara practices corporate/commercial and securities law. As part of the IWJ Team, Tamara retains a business focus when assisting small, medium and large businesses navigate BC's legal and regulatory landscape. Tamara has significant experience in general corporate and commercial work for privately owned clients, as well as regulatory compliance issues, investment fund offerings, venture capital, corporate reorganizations, mergers and acquisitions, public market financings, and interaction with securities regulators across Canada. Tamara also has experience in completing extensive due diligence investigations and evaluating results for clients involved in acquisitions, joint ventures and equity investments in the local, national and international marketplace. Tamara has worked with a diverse range of clients, from small family run businesses to TSX listed public issuers and retail mutual funds and investment funds. Tamara is an Editor of the Securities Chapter of the CLE Due Diligence Deskbook. Tamara obtained her law degree from Queen’s University (LL.B – 1997) and is admitted to the Bars of British Columbia (1998) and Ontario (2004). Tamara is a Senior Member of Irwin, White & Jennings and practices through a law corporation.

As one of the founding members of the firm and having previously been an associate and partner at leading law firms in Vancouver, David has almost a quarter century of experience in providing a combination of legal and business advice to a largely entrepreneurial clientele. David specializes in corporate, tax and securities law with several private companies, publicly-traded entities and institutional venture capitalists. For many companies he has taken the role as general counsel. In addition to a specialized role in merger and acquisition transactions, he has acted as counsel for special committees and independent review committees for a variety of complex and often tax-driven transactions. David has served since the mid 1990’s as a director for numerous public and private companies. Mr. Jennings also spends a significant amount of time serving on national and local charitable boards.Mr. Jennings has written articles, edited publications and regularly lectures for the Canadian Venture Capital Association, the B.C. Continuing Legal Education Society, the Canadian Bar Association and the Law Society Professional Legal Training Course regarding corporate, securities and venture capital financing law. Mr. Jennings obtained his J.D. (University of Toronto) in 1988 and was called to the British Columbia Bar in 1989.

John is a senior member of IWJ who practices corporate and corporate finance law.John plays a lead role advising corporate and institutional clients on merger and acquisition transactions, public and private financings and secured lending transactions. John also advises corporate issuers, investment funds and boards on a range of regulatory matters, including continuous disclosure and other securities law requirements and legal and strategic communications. John has over 16 years’ of experience drafting disclosure documents and a wide range of commercial agreements and in designing and completing due diligence reviews in connection with financing and acquisition transactions. John previously worked with Baker & McKenzie in London, England.John holds an economics degree from the University of British Columbia, a law degree from the University of Alberta and a master of laws from the University of Cambridge and is a member of the Law Societies of British Columbia (1995) and England and Wales (1997 – non-practising). John practices through John C. McLeod Law Corporation.

Monica practices corporate and commercial law.Monica has acted for small and large private and public companies in a number of industry sectors. Her particular focus is on institutional venture capital financing and venture capital fund mergers and acquisitions. Monica’s experience in this area includes negotiating and drafting documentation for diverse and complex share and asset acquisitions and dispositions, corporate reorganizations, venture capital financings, private placements and various other corporate and commercial transactions. She also participates in the ongoing maintenance and affairs of various private companies and public venture capital funds. Prior to joining Irwin, White & Jennings, Monica was a corporate and commercial associate at a large Vancouver law firm. Monica is a member of the Canadian Bar Association and the Vancouver Bar Association.Monica obtained her law degree from the University of British Columbia in 2002 and her Bachelor of Arts (with Distinction) from the University of Manitoba in 1999. She was called to the bar in British Columbia in 2003. Monica is a Member of Irwin, White & Jennings.
