Dayna practises law primarily in the areas of securities and corporate finance, with a focus on institutional venture capital, lending, private equity and mergers and acquisitions. She works with a range of clients, including corporate clients and many of Western Canada’s largest institutional venture capital companies. Dayna has worked in this area for over 15 years and has extensive experience drafting, negotiating and settling documents for institutional venture capital debt and equity financings and advising corporate clients on corporate, securities and financing issues as well as M&A transactions. Dayna’s experience also includes acting for national and large US based funds on several Canada/US cross boarder financings, including exchangeable share structures.
While her more recent focus has been on the above, earlier in her legal career Dayna advised brokerage corporate finance staff in both private and public financings and on securities regulatory issues and securities law aspects of structuring corporate finance transactions. She also was involved in completing extensive due diligence investigations of both public and private issuers, and evaluating results of such due diligence investigations.
Dayna also presents at and has co-chaired seminars for CLE (Continuing Legal Education) on the topics of shareholders’ agreements as well as elements of private corporate finance. She is a board member and treasurer of the Kiwanis Club (Vancouver) and is a veteran member of the organizing committee for Childrun, a successful fun run which raises funds for the oncology department of B.C. Children’s Hospital.
Dayna obtained her undergraduate degree from Queen’s University (Bachelor of Arts, with Honours (BA.H) - 1993), her law degree from University of British Columbia (LL.B – 1996) and is a member of the British Columbia Bar (1997). Dayna is a Senior Member of Irwin, White & Jennings.
